Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website PreciseMarketing.com (the "Site") and the marketing services provided by Precise Marketing ("Precise Marketing," "we," "us," or "our"). By using the Site or engaging our services, you agree to these Terms.

1. Services

Precise Marketing provides marketing services that may include paid advertising management, social media management, content, branding, website design, and marketing automation. The specific scope, deliverables, and fees for your engagement are defined in a separate proposal, statement of work, or service agreement (the "Service Agreement"). If anything in a signed Service Agreement conflicts with these Terms, the Service Agreement controls.

2. Engagement Term & Cancellation

Unless otherwise stated in your Service Agreement, monthly packages operate on a month-to-month basis following an initial 90-day commitment. The initial period allows enough time to build, launch, and begin optimizing campaigns. Cancellations require 30 days' written notice. One-time and project-based services are billed upon project kickoff.

To deliver results, we rely on your timely cooperation, including providing accurate information, necessary account access, brand assets, approvals, and feedback. Delays in providing these may affect timelines and outcomes.

5. Results & No Guarantee

We bring expertise, proven processes, and best efforts to every engagement. However, marketing outcomes depend on many factors outside our control (market conditions, your offer, pricing, ad platform changes, and more). Except where expressly stated in a Service Agreement, we do not guarantee specific results, rankings, lead volumes, or revenue. Past results and figures shown on the Site are examples and are not a promise of future performance.

6. Intellectual Property

Upon full payment, deliverables we create specifically for you (such as final logos, ad creative, and website builds) are owned by you, except for any third-party assets, stock content, licensed software, and our own pre-existing tools, templates, and processes, which remain owned by their respective owners or by us. You grant us permission to use non-confidential work and results for our portfolio and marketing unless you opt out in writing.

7. Confidentiality

Each party agrees to protect the other's confidential information and to use it only for purposes of the engagement.

8. Third-Party Platforms

Our services rely on third-party platforms with their own terms and policies. We are not responsible for changes, outages, account suspensions, or decisions made by those platforms.

9. Limitation of Liability

To the maximum extent permitted by law, Precise Marketing is not liable for any indirect, incidental, special, or consequential damages, or for lost profits or revenue. Our total liability for any claim arising out of an engagement will not exceed the fees you paid us for the services giving rise to the claim in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify and hold Precise Marketing harmless from claims arising out of content or materials you provide, your products or services, or your breach of these Terms or applicable law.

11. Governing Law

These Terms are governed by the laws of the state in which Precise Marketing is established, without regard to conflict-of-laws rules. [Insert governing state/jurisdiction.]
